Technology Transfer Contract Templates Update The Spanish Patent and Trademark Office (OEPM), in collaboration with the Spanish National Research Council (CSIC), the Licensing Executive Society Spain and Portugal (LES EP), the Arbitration and Mediation Center of the World Intellectual Property Organization (WIPO), and the Ministry of Science, Innovation, and Universities, has updated the model technology transfer agreements and the corresponding user guides, which are available to users free of charge. Technology transfer is essential to the proper functioning of the innovation ecosystem, as it connects those who develop an invention with those who have the capacity to bring it to market. In this way, innovation ultimately reaches society as a whole, which benefits from technological and scientific progress. To ensure that all parties involved in this process are satisfied, legal issues such as ownership of industrial property rights, terms of exploitation, distribution of proceeds, confidentiality, and the liability assumed by each party must be determined and established, as these can be decisive factors during the term of these agreements. It is essential to have a well-drafted contract that clearly details all these aspects and anticipates as many contingencies as possible so that the technology transfer can proceed safely. To cover the various situations that may arise, five templates have been drafted: • Confidentiality Agreement. • Material Transfer Agreement. • Public-Private Licensing Agreement. • Business-to-Business Licensing Agreement. • Research and Development Agreement. Each of these templates comes with its own supporting guide in Spanish and English, making them easier for users to understand and apply. This update provides companies, research organizations, and other stakeholders in the innovation ecosystem with practical resources to support knowledge and technology transfer, helping to ensure these transactions proceed with greater certainty.
