Model Contracts for Technology Transfer



A knowledge-based economy with suitable protection for innovation, generated both in universities and public research centres and in SMEs, should be followed by efficient transfer to the production system. This transfer of knowledge or technical information should be established through a contract which adequately reflects the mechanisms by which it takes place.

In this context, given the need that universities, public research centres and small and medium-sized Spanish companies have for model contracts of this kind, a multidisciplinary working group has been created, to be coordinated by the Spanish Patent and Trademark Office (SPTO), charged with drafting the models for the different types of contracts.

This working group is made up of representatives of the Higher Council for Scientific Research (CSIC), LES Spain and Portugal (LES), the Ministry of Economy and Competitiveness (MINECO), the Spanish Patent and Trademark Office (SPTO) and the World Intellectual Property Organisation (WIPO).

Finished models
The first finished models placed at the disposal of possible interested parties are the “Confidentiality Agreement” and the “Transfer of Material Agreement”, in Spanish and English, with their corresponding usage guides. Other models will follow, which will attempt to cover all aspects of Technology Transfer.
